OBJECTIVES

This webinar will provide a technical and practical overview of Family Investment Companies (FICs) as a structuring tool for UK property owners. Delegates will gain the knowledge to assess when a FIC is appropriate and identify the key tax implications (Corporation Tax, Income Tax, Capital Gains Tax (CGT), Inheritance Tax (IHT) and Stamp Duty Land Tax (SDLT)), and recognise common planning opportunities and risk areas.

By the end of the session, attendees will be able to evaluate the tax consequences of transferring property into a limited company, outline governance and control mechanisms for intergenerational planning, and identify compliance and HMRC challenge risks in advising property-owning families.

KEY TOPICS

  • Family Investment Company (FIC) fundamentals – legal structure, share classes, alphabet shares, growth shares and control mechanisms
  • Corporation Tax treatment of property income and gains
  • Income extraction strategies – dividends, salary, directors’ loans and repayment of capital
  • Capital Gains Tax (CGT) and Stamp duty Land Tax (SDLT) on incorporation and incorporation relief (e.g. s162 TCGA 1992)
  • Inheritance Tax (IHT) planning – freezing value, growth outside the estate, and interaction with settlements legislation
  • Funding the FIC – shareholder loans, external borrowing and refinancing

WHO SHOULD ATTEND

This session is aimed at partners, directors and managers in accountancy practices advising property-owning individuals and families who require a deeper technical understanding of Family Investment Companies. It is particularly suitable for practitioners already working in owner-managed businesses, property taxation, or inheritance tax planning who wish to expand their advisory capability in this area.

It will also benefit tax managers and senior advisers who are newer to FIC structures and want a structured, practical introduction to the tax, SDLT and CGT implications of incorporating property portfolios.
